Paid Guides Additional Terms and Conditions (Creator)
Effective as of december 23, 2025.
These Paid Guides Additional Terms and Conditions (Creator) (which are deemed “Additional Terms”) are entered into between Beli Technologies, Inc. (“Beli”) and the creator that is offering Paid Guides (as defined below) on the Services (“Creator” or “you”), and governs your offering of such Paid Guides. By creating, publishing, offering, or monetizing a Paid Guide, you agree to these Additional Terms, which upon acceptance, supplement and are incorporated into, the Terms of Use Agreement previously entered into between the parties (“Agreement”). These Additional Terms are effective as of the earlier of your acceptance of these Additional Terms or your offering of a Paid Guide. Capitalized terms not defined herein have the meaning given to them in the Agreement. In the event of any inconsistency between the terms of the Agreement and these Additional Terms, these Additional Terms shall control.
BY ACCEPTING THESE ADDITIONAL TERMS, CREATOR, PUBLISHING, OFFERING, OR MONETIZING A PAID GUIDE, OR OTHERWISE ACCESING OR USING THE SERVICES, YOU REPRESENT THAT (1) YOU HAVE READ, UNDERSTAND, AND AGREE TO BE BOUND BY THESE ADDITIONAL TERMS, (2) YOU ARE OF LEGAL AGE TO FORM A BINDING CONTRACT WITH BELI, AND (3) YOU HAVE THE AUTHORITY TO ENTER INTO THESE ADDITIONAL TERMS. IF YOU DO NOT AGREE TO BE BOUND BY THESE ADDITIONAL TERMS, YOU SHALL NOT RECEIVE OR BE ENTITLED TO ANY OF THE RIGHTS SET FORTH IN THESE ADDITIONAL TERMS.
Paid Guides
You may use the Services to create curated presentations that organize Content and/or User Submissions (including restaurants selected from lists, titles, descriptions, cover images, and other elements that are made available through the Services) (the “Guides”). Using Beli’s Creator Tools feature, you may elect to offer “Paid Guides” and provide that certain Guides (or portions or elements of certain Guides) are accessible only to other users via paid subscriptions (such subscriptions, the “Guide Subscriptions”). A user who subscribes to your Paid Guide will be deemed a “Subscriber.” The Guides (including, for the avoidance of doubt, the Paid Guides) are deemed User Submissions hereunder.
Beli’s Creator Tools allow you to offer the Guides and the Paid Guides to users and Subscribers; however, you acknowledge and agree that Beli is not the offeror or creator of such Paid Guides. The actual Guide Subscription is between you and the Subscriber. Beli has no obligation to intercede in any disputes between you and a Subscriber (although Beli may elect to in its sole discretion). Beli cannot confirm that each Subscriber is who they claim to be, and Beli does not make any representation about the ability of Subscribers to pay for their Guide Subscriptions.
Commercial Use; Eligibility and Access
Notwithstanding any "personal, non-commercial use" restriction in the Terms of Use, Beli authorizes Creators to use the Services to offer Guide Subscriptions and monetize Paid Guides, provided such Paid Guides are offered in accordance with these Additional Terms, the Terms of Use, and any other Beli policies, which Beli may update from time-to-time in its sole discretion.
Beli may establish eligibility requirements for Creators to offer Paid Guides at any time in its sole discretion, and may revoke, suspend, or limit Creator’s ability to offer Paid Guides at any time in its sole discretion, in each case without any liability to Creator.
Creator Obligations
You agree that all Guides and Paid Guides will be your original work and will not infringe or misappropriate the rights of a third party, including their intellectual property rights or their rights of privacy. You will not use the Guides or Paid Guides to defame or libel any individual. You will not make a Guide or Paid Guide that you have offered, created, or monetized via the Creator Tools available on any similar or competing platform.
You agree that you will not materially misrepresent the nature of your Paid Guides, and you will comply with all applicable laws, rules, regulations, and guidelines when offering the Paid Guides (including the Federal Trade Commissions’ Guides Concerning the Use of Endorsements and Testimonials in Advertising, and any laws governing automatically renewing subscriptions). You are solely responsible for ensuring that the descriptions of the Paid Guide and the Guide Subscription that you are offering is not misleading.
When you use the Creator Tool feature to offer a Paid Guide, you may receive limited information about Subscribers to your Paid Guides. You agree that you will only use such information for the limited purpose of offering the Paid Guides.
Rights and Licenses.
You grant Beli the worldwide, royalty-free, transferable, sublicensable right to host, display, format, cache, make technical modifications to, and otherwise process the Guides and Paid Guides as necessary for Beli to provide and improve the Service, the Creator Tools, and the Guide and Paid Guide feature. You acknowledge and agree that Beli does not guarantee any minimum earnings, discoverability, placement, or volume of Subscribers for your Paid Guides.
You grant Beli a non-exclusive, royalty-free, worldwide right to use your name, username, profile information, and Guide titles, descriptions, cover images, and excerpts (including screenshots or short clips) to promote you, your Guides, the Paid Guide feature, and the Services, in any media whatsoever. You acknowledge that Beli has no obligation to promote you or publish your Paid Guides. You represent that you have the rights to grant the permissions set forth herein any materials you provide (including any profile image).
Fees, Payments, Creator Share.
You may use the Creator Tools to elect the portion of amounts collected from purchases of Guide Subscriptions (each purchase, a “Transaction”) that will be settled to you (the “Creator Share”). You will only receive the Creator Share on amounts actually received by Beli, net of all chargebacks, refunds, disputed amounts, discounts, payment processing fees, and other standard deductions, as described herein.
Beli may enable you to obtain payment processing services directly from our payment processing partner (Stripe, Inc. and its affiliates, collectively “Payment Processor”) subject to your agreement to these Additional Terms, any necessary approval by Payment Processor, and your review of and agreement to the Stripe Connected Account Agreement (currently available at https://stripe.com/legal/connect-account), which includes the Stripe Services Agreement (currently available at https://stripe.com/legal/connect-account) (such agreements, collectively, the “Stripe Agreements,” which Stripe may modify from time to time).
Beli or Payment Processor require you to provide additional information about yourself, the entity you represent (if any), and the principals, beneficial owners, and/or beneficiaries of the entity you represent (if any). For example, such information may include current address, doing business as (DBA) names (if applicable), description of affiliated persons or entities, website address, bank account or other payment account information, tax identification numbers (e.g., SSN), date of birth, passport or drivers license number, country of origin, copies of government identification documents, and other personal information (“Onboarding Information”). You represent and warrant that all Onboarding information you provide to Beli or Payment Processor relating to the processing of Creator Share payments is true, accurate, current, and complete. You further agree that you will promptly provide any such Onboarding Information upon request and promptly update any such information to make sure it remains accurate, complete, and up to date.
You agree and understand that Beli may share any such Onboarding Information and other information about your activity on and use of these Creator Share payments services with any applicable third-party payment processor, bank, or other parties that Beli partners with to provide services, as well as with your bank or other financial institution, as necessary. You also authorize us to verify your Onboarding Information and conduct due diligence on you through third parties, including third-party credit reporting agencies. Beli reserves the right to not enable you to offer Guide Subscriptions, or withhold (or direct Payment Processor to withhold) any applicable Creator Share unless and until you provide accurate Onboarding Information or if Beli believes that any required information you have provided is inaccurate or incomplete.
Beli will facilitate settlement of funds to you depending on how Subscriber makes payments for Guide Subscriptions and based on your Creator Share. For Transactions for which payments are processed through Payment Processor (i.e., you have entered into the Stripe Agreements and Beli makes available payment processing services in connection with Stripe), Beli is the “Stripe Connect Platform” and you are the “Connected Account” as defined and described in the Stripe Agreements. Payment Processor and Beli will settle amounts due to you in accordance with these Additional Terms and the Stripe Agreements. For Transactions for which payments are made through an App Store, Beli will settle amounts due to you in accordance with these Additional Terms and the Stripe Agreements do not apply to such Transactions. In either case, the Creator Share will be disbursed to the financial account associated with the payout information you provide as part of the Onboarding Information.
If any payment is made to you in error, or if you otherwise receive funds to which you are not entitled to receive at the time of disbursement, Beli has the right to recoup such amounts from you, including without limitation by initiating a debit or charge to any account provided by you. Beli may also offset (or instruct Payment Processor to offset) against funds pending settlement to you any sums due, or reasonably likely to become due, to Beli pursuant to these Additional Terms. If applicable, you hereby authorize Beli to initiate credits and debits to your account for the purposes set forth herein.
You acknowledge that Beli relies on the information provided by you to Creator Share payments on your behalf. If any transaction information, account or other payment information that you provide is incorrect or inaccurate, you agree that you are responsible for reimbursing, indemnifying, and holding Beli harmless for any losses or expenses incurred by Beli relying on the incorrect information.
Beli will settle Creator Share payments to you and/or facilitate settlement of Creator Share payments by Payment Processor, as appliable, within 15 business days. In some cases, settlement of funds to you could be temporarily delayed by an issue at Beli, its bank or Payment Processor, or your financial institution. Beli is not obligated to refund any fees or reimburse any expenses due to delayed settlements. In addition, your designated financial institution’s settlement and account crediting procedures may at times cause delays in the crediting of funds to your bank account (or other financial account) and Beli does not have control over these delays.
You agree that Beli reserves the right to manage the risks associated with facilitating Creator Share payments by placing restrictions (or directing Payment Processor to play restrictions, to the extent permitted) on the settlement of funds to you when Beli deems it is necessary at its sole discretion, including as necessary to comply with law or mitigate fraud or abuse. For example, Beli may place a hold if Beli has reason to believe there is an increased risk associated with a certain Transaction, such as if a Subscriber files a dispute or requests a return, or if there have been prior complaints or disputes relating to your Transactions or Paid Guides. In addition, in the event that a Subscriber submits a chargeback request to its bank or financial institution in connection with a Transaction involving your Paid Guides, Beli may inform you of the chargeback request and provide you with an opportunity to dispute the chargeback or otherwise seek to resolve the dispute with the Subscriber. If Beli receives a chargeback request for a Transaction before the Creator Share for such Transaction has been settled to you as described in these Additional Terms, you acknowledge and agree that Beli may hold, or direct Payment Processor to hold, the disbursement of the Creator Share until the chargeback dispute is resolved. If chargeback dispute is warranted, Beli or Payment Processor, as appliable, will not settle any applicable amount of the Creator Share for the Transaction to you.
To the extent that you receive Creator Share payments other than through Transactions processed on your behalf as a Connected Account in accordance with the Stripe Agreements, and otherwise to the extent applicable, you hereby appoint Beli as limited payments agent for the sole purpose of actually or constructively receiving, holding, and settling payments to you for Creator Share payments. Beli will settle payments that are actually or constructively received by Beli (e.g., through App Store payments) to you, less any amounts owed to Beli as set forth herein (i.e., your Creator Share). You agree that a payment actually or constructively received by Beli from a Subscriber, on your behalf, satisfies the Subscriber’s obligation to make payment to you, regardless of whether Beli actually settles any such Creator Share payment to you. If Beli does not settle any such payments as described in these Additional Terms to you, you will have recourse only against Beli and not the Subscriber, as payment is deemed made by Subscriber to you upon constructive or actual receipt of funds by Beli. In accepting this appointment as your limited payments agent, you agree that Beli assumes no liability for any acts or omissions by you (including without limitation compliance with applicable laws pertaining to your offering of Guide Subscriptions), and you understand that the obligation of Beli to settle any funds to you is subject to and conditional upon the Creator’s actual payment and these Additional Terms.
Beli may request, and require you to provide as a condition of obtaining Creator Share payments through the Services, information necessary to prepare a W-9 or any other tax-related forms. Beli will determine if it is obligated to file a form 1099-K in connection with payments made to you, and if so, Beli (or Payment Processor) will send you a 1099-K. Beli may collect and share information relating to your US tax status and related required documents as needed to generate 1099-K documentation in connection with facilitating Creator Share payments as described herein.
Refunds and Subscriber Support.
Through the Creator Tools, Beli may provide tools that allow you to initiate certain refunds or credits for Subscribers. You agree to use all such tools in compliance with these Additional Terms and any policies or guidelines provided to you via the Services.
Beli, together with its payment providers, card networks, and third-party platforms, may issue refunds, credits, may issue refunds, credits, or reversals as required by applicable law (including statutory withdrawal rights) or their internal policies and procedures, including to address fraud, abuse, or technical issues. For the avoidance of doubt, the forgoing refunds, credits, or reversals will not be included in your Creator Share.
Notwithstanding the foregoing, any disputes regarding Transactions and Paid Guide that you offer is between you and Subscribers. In the event of a dispute, Beli may try to mediate, but ultimately it is your obligation to settle the dispute. For refund requests relating to Creator Share proceeds that have not yet been settled to you, Beli reserves the right to manage and determine, in accordance with applicable law and based on information provided by you or the Subscriber, whether to issue a refund. Notwithstanding the foregoing, you are and remain ultimately responsible for responding to, evaluating, and fulfilling refund requests relating to your Paid Guides, Guide Subscriptions, and any other applicable products and services you offer.
Enforcement; Termination.
If you violate these Additional Terms, Beli may provide you with notice and a reasonable opportunity to cure prior to taking enforcement action, unless immediate action is required to protect users, Subscribers, Beli, or third parties. Notwithstanding the foregoing, Beli may take down a Guide or Paid Guide for any reason in its sole discretion without liability to Creator.
Beli may immediately remove, restrict, or disable access to any Guide or Paid Guide; suspend or terminate your ability to offer the Guide Subscriptions; and/or suspend your account, without prior notice and without liability to you, if Beli reasonably believes that you engaged in fraud, unlawful conduct, material or repeated policy violations, or other conduct that poses a risk to users or the platform.
If Beli reasonably believes you engaged in fraud, unlawful conduct, or material policy violations, Beli may withhold your Creator Share payments to cover refunds, chargebacks, costs, fines, or other losses, to the extent permitted by law.
If you terminate your Creator account, Beli terminates your access to the Creator Tools feature, or Beli restricts you from offering your Paid Guides for any reason, Beli may, in its sole discretion (as between Beli and Creator): (a) elect to provide Subscribers with prorated refunds or credits (which reduce your Creator Share), (b) allow continued access to previously published Paid Guides for the remainder of Subscribers' paid terms, or (c) take other reasonable steps to address Subscriber expectations.
Disclaimer.
YOU ACKNOWLEDGE THAT BELI MAKES NO REPRESENTATIONS OR WARRANTIES, NOR GUARANTEES ANY RESULTS OR OUTCOMES, WITH RESPECT TO THE CREATOR TOOLS OR THE GUIDES OR PAID GUIDES. YOU ACCEPT ALL RESPONSIBILITY IN CONNECTION WITH THE OFFERING OF A PAID GUIDE TO A SUBSCRIBER.
Indemnity; Liability.
You hereby agree to indemnify, defend, and hold harmless the Beli Parties from all claims, damages, losses, and expense (including reasonable attorneys’ fees) arising out of or related to your Guides, the Paid Guides, the Guide Subscriptions, any interactions with Subscribers, or a breach of these Additional Terms.
BELI HEREBY DISCLAIMS ALL LIABILITY IN CONNECTION WITH THE CREATOR TOOLS, YOUR GUIDES, THE PAID GUIDES, AND YOUR INTERACTIONS WITH SUBSCRIBERS.
Apple Terms.
With respect to any mobile application accessed through or downloaded from the Apple App Store (an “App Store Sourced App”), you shall only use the App Store Sourced App (i) on an Apple-branded product that runs the iOS (Apple’s proprietary operating system) and (ii) as permitted by the “Usage Rules” set forth in the Apple Media Terms of Service, except that such App Store Sourced App may be accessed, acquired, and used by other accounts associated with the purchaser via Apple’s Family Sharing function, volume purchasing, or Legacy Contacts function.
Accessing and Downloading the App from the Apple App Store. The following applies to any App Store Sourced App accessed through or downloaded from the Apple App Store:
You acknowledge and agree that (i) these Additional Terms is concluded between you and Beli only, and not Apple, and (ii) Beli, not Apple, is solely responsible for the App Store Sourced App and content thereof. Your use of the App Store Sourced App must comply with the App Store Terms of Service.
You acknowledge that Apple has no obligation whatsoever to furnish any maintenance and support services with respect to the App Store Sourced App.
In the event of any failure of the App Store Sourced App to conform to any applicable warranty, you may notify Apple, and Apple will refund the purchase price for the App Store Sourced App to you and to the maximum extent permitted by applicable law, Apple will have no other warranty obligation whatsoever with respect to the App Store Sourced App. As between Beli and Apple, any other claims, losses, liabilities, damages, costs or expenses attributable to any failure to conform to any warranty will be the sole responsibility of Beli.
You and Beli acknowledge that, as between Beli and Apple, Apple is not responsible for addressing any claims you have or of any third party relating to the App Store Sourced App or your possession and use of the App Store Sourced App, including, but not limited to: (i) product liability claims; (ii) any claim that the App Store Sourced App fails to conform to any applicable legal or regulatory requirement; and (iii) claims arising under consumer protection or similar legislation.
You and Beli acknowledge that, in the event of any third-party claim that the App Store Sourced App or your possession and use of that App Store Sourced App infringes that third party’s intellectual property rights, as between Beli and Apple, Beli, not Apple, will be solely responsible for the investigation, defense, settlement and discharge of any such intellectual property infringement claim to the extent required by these Additional Terms.
You and Beli acknowledge and agree that Apple, and Apple’s subsidiaries, are third-party beneficiaries of these Additional Terms as related to your license of the App Store Sourced App, and that, upon your acceptance of the terms and conditions of these Additional Terms, Apple will have the right (and will be deemed to have accepted the right) to enforce these Additional Terms as related to your license of the App Store Sourced App against you as a third-party beneficiary thereof.
Without limiting any other terms of these Additional Terms, you must comply with all applicable third-party terms of agreement when using the App Store Sourced App.
