Paid Guides Additional Terms and Conditions (Subscriber)
Effective as of December 23, 2025.
These Paid Guides Additional Terms and Conditions (Subscriber) (which are deemed “Additional Terms”) are entered into between Beli Technologies, Inc. (“Beli”) and the user that is accessing Paid Guides (as defined below) on the Services (“Subscriber” or “you”), and governs your access to such Paid Guides. By accessing a Paid Guide, you agree to these Additional Terms, which upon acceptance, supplement and are incorporated into, the Terms of Use Agreement previously entered into between the parties (“Agreement”). These Additional Terms are effective as of the earlier of your acceptance of these Additional Terms or your access of or subscription to a Paid Guide. Capitalized terms not defined herein have the meaning given to them in the Agreement. In the event of any inconsistency between the terms of the Agreement and these Additional Terms, these Additional Terms shall control.
BY ACCEPTING THESE ADDITIONAL TERMS, ACCESSING OR SUBSCRIBING TO A PAID GUIDE, OR OTHERWISE ACCESING OR USING THE SERVICES, YOU REPRESENT THAT (1) YOU HAVE READ, UNDERSTAND, AND AGREE TO BE BOUND BY THESE ADDITIONAL TERMS, (2) YOU ARE OF LEGAL AGE TO FORM A BINDING CONTRACT WITH BELI, AND (3) YOU HAVE THE AUTHORITY TO ENTER INTO THESE ADDITIONAL TERMS. IF YOU DO NOT AGREE TO BE BOUND BY THESE ADDITIONAL TERMS, YOU SHALL NOT RECEIVE OR BE ENTITLED TO ANY OF THE RIGHTS SET FORTH IN THESE ADDITIONAL TERMS.
Paid Guides
You may use the Services to access curated presentations by creators (the “Creators”) that organize Content and/or User Submissions (including restaurants selected from lists, titles, descriptions, cover images, and other elements that are made available through the Services) (the “Guides”). Certain Guides (or portions or elements of certain Guides) are accessible only to users via paid subscriptions (such guides, the “Paid Guides,” and such subscriptions, the “Guide Subscriptions”). If you subscribe to a Paid Guide, you will be deemed a “Subscriber.”
You may subscribe to a Paid Guide via the Service; however, you acknowledge and agree that Beli is not the offeror or creator of such Paid Guides. The actual Guide Subscription is between you and the Creator. Beli has no obligation to intercede in any disputes between you and a Creator (although Beli may elect to do so in its sole discretion). Beli does not have control over the quality, scope, or reliability of the Paid Guides.
Rights and Licenses.
By purchasing a Guide Subscription, you are granted a limited, personal, non-transferable, non-sublicensable worldwide, non-exclusive right to access the Paid Guides for your personal, non-commercial use, subject to your compliance with the terms of this Agreement. Nothing set forth herein transfers any right, title, or interest in and to the Paid Guides to you (including the right to resale or redistribution).
You may not copy, scrape, download, reproduce, post, display, sell, sublicense, or share Paid Guides or access credentials with a third party. Any breach of this Section 2(b) will be deemed a material breach of these Additional Terms. You shall not provide, or permit any third party to provide, any data obtained from the Guides or the Paid Guides (the “Guide Data”) or other derivatives or synthetic versions of the Guide Data, as inputs or prompts to any generative artificial intelligence tools, machine learning tools, computer vision technology, large language or natural language processing models or cloud-based AI services (“AI Models”) or otherwise use the Guides, Paid Guides or Guide Data or any derivatives or synthetic thereof for any training in connection with any of AI Models. The foregoing restrictions apply notwithstanding the expiration or termination of this Agreement.
Automatic Renewal; No Refunds.
The fees for your Guide Subscription (“Service Subscription Fee”) will be billed at the start of the Guide Subscription and at regular intervals thereafter (“Subscription Term”) in accordance with your elections at the time of purchase. Service Subscription Fees are due, and you agree to pay all such fees, as indicated at the time of purchase and thereafter in accordance with these Additional Terms. You may make payments using any eligible payment method in your Account as well as through third-party providers (e.g., an App Store). Eligible payment methods are subject to change from time to time in our sole discretion. A Creator may change the Guide Subscription pricing at any time, and will use commercially reasonable efforts to notify you, such as by sending an email to the email address associated with your Beil account. If you do not agree with such changes, you may cancel your Guide Subscription.
Automatic Renewal. If you elect to purchase a Guide Subscription, your Guide Subscription will continue and automatically renew at Creator’s then-current price for such Guide Subscription until terminated in accordance with these Additional Terms. The frequency at which your Guide Subscription renews (e.g., monthly) will be designated at the time you sign up for the Guide Subscription.By subscribing, you authorize Creator to charge, through Beli, the payment method designated in your Account, and again at the beginning of any subsequent Subscription Term. Upon renewal of your Guide Subscription, if Creator (or Beli on behalf of Creator) does not receive payment, (i) you shall pay all amounts due on your Account upon demand and/or (ii) you agree that Creator (or Beli on behalf of Creator) may either terminate or suspend your Guide Subscription and continue to attempt to charge your designated payment method until payment is received (upon receipt of payment, your Account will be activated and for purposes of automatic renewal, your new Subscription Term will begin as of the day payment was received).
Cancelling Subscriptions Purchased via a Third-Party. If you purchased your Guide Subscription through a third-party provider or method (e.g., via an App Store), you may need to reach out to or otherwise refer to that third-party provider or method for instructions on how to cancel your Guide Subscription. You may also reach out to support@beliapp.com for assistance in cancelling your Guide Subscription. Your cancellation generally will take effect at the end of the billing cycle in which you cancel.
Effect of Cancellation. If you cancel your Guide Subscription, you may use your Guide Subscription until the end of your then-current Subscription Term and your Guide Subscription will not be renewed after your then-current term expires. You will not be eligible for a prorated refund of any portion of the Service Subscription Fee paid for the then-current Subscription Term. After your Subscription Term ends, your access to the other Services will continue, in accordance with the Terms of Use.
Refunds. Except as required by applicable law, all fees and other amounts paid in connection with Guide Subscriptions are non-refundable, non-cancellable, and non-creditable, regardless of actual usage, termination, or dissatisfaction. By purchasing any Guide Subscription, you acknowledge and agree that Beli has no obligation to provide any refunds or credits under any circumstances, including in connection with a cancellation or termination of your Guide Subscription.
Payment Processing.
Depending on the payment method you choose and the eligible payment methods in your Account, you may be able to purchase Guide Subscriptions through in-app purchases facilitated by third-party providers (e.g., an App Store) or from the Creator using a third-party payment processor. As applicable, Beli uses Stripe, Inc. and its affiliates as a third-party service provider for payment processing services (e.g., card acceptance, merchant settlement, and related services) (“Payment Processor”) to facilitate payments on behalf of Creators. By completing a transaction using the Services, you acknowledge and agree to be bound by the applicable Payment Processor terms and conditions, which are currently accessible via the following link: https://stripe.com/us/terms. You hereby consent and authorize Beli (and Creators, as applicable) and the applicable Payment Processor to share any information and payment instructions you provide to the minimum extent required to complete your transactions. You acknowledge and agree that Beli may, in its sole discretion at any time, change available payment methods, as well as Payment Processors, without notice to you. You also acknowledge and agree that, to the extent applicable, Beli processes payments on behalf of and as limited payments agent of Creators, and that any payment received by Beli, actually or constructively, on behalf of a Creator with respect to a Guide Subscription payment is deemed received by the Creator at the time of actual or constructive receipt by Beli.
Disclaimer.
YOU ACKNOWLEDGE THAT BELI MAKES NO REPRESENTATIONS OR WARRANTIES, NOR GUARANTEES ANY RESULTS OR OUTCOMES, WITH RESPECT TO THE GUIDES OR PAID GUIDES. BELI HAS NO LIABILITY IF A CREATOR STOPS PUBLISHING OR MODIFIES THEIR PAID GUIDES. THE PAID GUIDES MAY INCLUDE OPINIONS, RANKNIGS, RECOMMENDATIONS, AND SUBJECTIVE ASSESSMENTS, AND ARE PROVIDED FOR INFORMATIONAL PURPOSES ONLY. PAID GUIDES ARE NOT PROFESSIONAL ADVICE. YOU RELY ON THE ADVICE PROVIDED IN THE GUIDES OR PAID GUIDES ARE YOUR OWN RISK AND ARE SOLELY RESPONSIBLE FOR MAKING YOUR OWN DECISIONS AND DETERMINATIONS. BELI DOES NOT GUARANTEE THE ACCURACY, COMPLETENESS, QUALITY, OR CONTINUED AVAILABILITY OF ANY GUIDES OR PAID GUIDES.
Indemnity; Liability.
You hereby agree to indemnify, defend, and hold harmless the Beli Parties from all claims, damages, losses, and expense (including reasonable attorneys’ fees) arising out of or related to your use of the Guides, the Paid Guides, the Guide Subscriptions, any interactions with Creator, or a breach of these Additional Terms.
BELI HEREBY DISCLAIMS ALL LIABILITY IN CONNECTION WITH THE GUIDES, THE PAID GUIDES, AND YOUR INTERACTIONS WITH CREATORS.
Apple Terms.
With respect to any mobile application accessed through or downloaded from the Apple App Store (an “App Store Sourced App”), you shall only use the App Store Sourced App (i) on an Apple-branded product that runs the iOS (Apple’s proprietary operating system) and (ii) as permitted by the “Usage Rules” set forth in the Apple Media Terms of Service, except that such App Store Sourced App may be accessed, acquired, and used by other accounts associated with the purchaser via Apple’s Family Sharing function, volume purchasing, or Legacy Contacts function.
Accessing and Downloading the App from the Apple App Store. The following applies to any App Store Sourced App accessed through or downloaded from the Apple App Store:
You acknowledge and agree that (i) these Additional Terms is concluded between you and Beli only, and not Apple, and (ii) Beli, not Apple, is solely responsible for the App Store Sourced App and content thereof. Your use of the App Store Sourced App must comply with the App Store Terms of Service.
You acknowledge that Apple has no obligation whatsoever to furnish any maintenance and support services with respect to the App Store Sourced App.
In the event of any failure of the App Store Sourced App to conform to any applicable warranty, you may notify Apple, and Apple will refund the purchase price for the App Store Sourced App to you and to the maximum extent permitted by applicable law, Apple will have no other warranty obligation whatsoever with respect to the App Store Sourced App. As between Beli and Apple, any other claims, losses, liabilities, damages, costs or expenses attributable to any failure to conform to any warranty will be the sole responsibility of Beli.
You and Beli acknowledge that, as between Beli and Apple, Apple is not responsible for addressing any claims you have or of any third party relating to the App Store Sourced App or your possession and use of the App Store Sourced App, including, but not limited to: (i) product liability claims; (ii) any claim that the App Store Sourced App fails to conform to any applicable legal or regulatory requirement; and (iii) claims arising under consumer protection or similar legislation.
You and Beli acknowledge that, in the event of any third-party claim that the App Store Sourced App or your possession and use of that App Store Sourced App infringes that third party’s intellectual property rights, as between Beli and Apple, Beli, not Apple, will be solely responsible for the investigation, defense, settlement and discharge of any such intellectual property infringement claim to the extent required by these Additional Terms.
You and Beli acknowledge and agree that Apple, and Apple’s subsidiaries, are third-party beneficiaries of these Additional Terms as related to your license of the App Store Sourced App, and that, upon your acceptance of the terms and conditions of these Additional Terms, Apple will have the right (and will be deemed to have accepted the right) to enforce these Additional Terms as related to your license of the App Store Sourced App against you as a third-party beneficiary thereof.
Without limiting any other terms of these Additional Terms, you must comply with all applicable third-party terms of agreement when using the App Store Sourced App.
